Groupt AI ("Groupt", "we", "our", "Website", "Service") offers its services (outlined below) via its website at https://groupt.ai (the "Website") and through any of its mobile applications and associated services (together, these services, including any updates and new features, and the Website, constitute the "Service(s)"). These Terms of Service (subject to amendments from time to time, the "Terms") govern your use of the Services. We reserve the right to update or modify these Terms at our discretion. Continued use of the Service after changes means you accept the new Terms.

Please review these Terms carefully. They include an arbitration agreement and detailed information about your legal rights and responsibilities. The arbitration agreement, with limited exceptions, requires that disputes be resolved in binding arbitration. You also agree (1) to pursue claims against Groupt AI individually, not as part of any class or collective action, and (2) to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis. Additionally, certain services may have specific terms, including our Privacy Policy. These are incorporated into these Terms by reference.

Access and Use of the Service

Service Description: Groupt AI is designed as an intuitive platform for categorizing, timestamping, and organizing your CSV files.

Confidentiality of Your CSV Files: Your CSV files may contain sensitive information. We prioritize the confidentiality of your files. We won't use or share your files without explicit permission, except to provide categorization and related services.

Your Registration Obligations: To use certain features, registration with Groupt AI might be required. By registering, you commit to providing accurate and complete information about yourself, as governed by our Privacy Policy. The Service is not for use by individuals under 13 years of age. If you are under 18, you may use the Service with parental or guardian consent.

Account Security: You're responsible for keeping your account and password secure and for all activities under your account. Immediately inform Groupt AI of any unauthorized use or security breach. We're not liable for losses caused by a failure to maintain account security.

Modifications to Service: Groupt may change or discontinue the Service or any part thereof without notice. We're not liable for any Service changes affecting you or third parties.

Usage and Storage Practices: Groupt AI may set limits on the use of the Service, including data retention periods and storage space on our servers. We're not liable for any loss of data or content. Inactive accounts may be terminated. We reserve the right to modify usage and storage policies.

Conditions of Use

User Conduct: As a Groupt user, you are solely responsible for all content you upload, post, publish, display, email, or otherwise use via the Service. This includes code, video, images, data, text, music, sound, photos, graphics, and messages. Groupt AI prohibits illegal content or use and reserves the right to take legal action, including content removal, account suspension or termination, and law enforcement reporting. Prohibited uses include, but are not limited to:

• Uploading content that infringes any intellectual property or other proprietary rights;
• Content containing harmful code, posing privacy or security risks;
• Unsolicited or unauthorized advertising, spam, or other forms of solicitation;
• Content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or racially objectionable;
• Interfering with or disrupting the Service or connected networks;
• Violating any laws or regulations;
• Impersonating any person or entity or misrepresenting affiliations;
• Soliciting personal information from minors;
• Harvesting user information for unsolicited communication;
• Promoting criminal activities;
• Attempting unauthorized access to the Service.

Fees and Payment

To access Groupt AI Services, you must select a payment plan and provide accurate payment information. You represent that you are authorized to use the payment method. Update your account with any changes. You agree to pay the specified amount according to the payment plan and these Terms. Notify Groupt within 30 days for any billing disputes. We reserve the right to change prices. Continued use post-price change means you agree to the new fees.

Commercial Use

Commercial use of the Service is prohibited unless expressly authorized. This includes any display, distribution, licensing, reproduction, modification, or creation of derivative works from the Service without specific authorization.

Intellectual Property Rights and Content Use

Groupt Content and Software

The content and features provided by the Service ("Service Content") are protected by intellectual property laws. You agree not to modify, copy, or create derivative works from the Service or Service Content without Groupt's permission, except for your User Content uploaded legally. Using data mining, robots, or similar data gathering methods in connection with the Service is prohibited. Any attempt to circumvent access blocks (like IP masking) is forbidden. Unauthorized use of Service Content or Software is strictly prohibited. The technology and software underlying the Service are the property of Groupt AI and our partners. You agree not to reverse engineer or transfer any rights in the Software. All rights not explicitly granted are reserved.

Groupt AI Trademarks

The Groupt AI name and logos are trademarks of Groupt AI (collectively, the "Groupt AI Trademarks"). Other trademarks appearing on the Service may belong to third parties. No license or right to use any Groupt AI Trademarks is granted implicitly. All goodwill from Groupt AI Trademarks use inures to our benefit.

Third-Party Content and Materials

Groupt AI is not liable for third-party content, including errors, loss, or damage from such content. Groupt AI may, but is not obligated to, monitor or remove third-party content deemed objectionable or in violation of these Terms. You assume all risks related to third-party content.

Feedback and Submissions

Any feedback or submissions you provide about the Service are non-confidential. Groupt AI may use these for any purpose without acknowledgment or compensation.

Content Preservation and Disclosure

Groupt AI may preserve and disclose content if legally required or to enforce these Terms, respond to rights violation claims, or protect safety. Service use involves data transmission over various networks with necessary technical adjustments.

Indemnification and Liability

Indemnity

You agree to indemnify, defend, and hold harmless Groupt AI and its affiliates, officers, agents, employees, and directors (collectively, "Indemnitees") from any losses, damages, expenses (including reasonable attorneys' fees), claims, actions, and injuries (including death) related to your use of the Service, your User Content, connection to the Service, violation of these Terms, or infringement of another's rights. However, you are not obligated to indemnify Indemnitees for losses resulting from their own actions or inactions.

Disclaimer of Warranties

Your use of the Service is at your own risk. Groupt AI provides the Service "as is" and "as available," without any warranties, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Groupt AI does not guarantee that the Service will meet your requirements; be uninterrupted, timely, secure, or error-free; provide accurate or reliable results; or meet your expectations for any purchased products or services.

Limitation of Liability

Groupt AI will not be liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits, goodwill, data, or other intangible losses, resulting from your use or inability to use the Service. This includes costs from substitute goods or services, unauthorized data access or alteration, third-party conduct, or any other Service-related matters. Groupt AI's total liability to you is limited to the greater of the amount paid to Groupt AI in the past six months or one hundred pounds (£100). Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so some disclaimers and limitations may not apply to you. If you are dissatisfied, your sole remedy is to discontinue using the Service.

Termination and User Disputes

Termination Policy Groupt AI reserves the right to suspend or terminate your account and access to the Service at its sole discretion. Reasons for such actions include but are not limited to inactivity, violation of these Terms, or engagement in fraudulent or illegal activities. Groupt AI may also discontinue the Service, or any part thereof, at any time. Upon termination, your account information and files will be deleted. Groupt AI is not liable for any termination effects on you or third parties. User Interaction Responsibility

You are solely responsible for your interactions with other users of the Service. Groupt AI is not liable for any disputes or issues arising from these interactions. While Groupt AI has the right to intervene in disputes, it is not obligated to do so.

General Terms and Privacy

Agreement and Jurisdiction

These Terms of Service represent the entire agreement between you and Groupt AI regarding the Service. They supersede any prior agreements. You may also be subject to additional terms when using affiliated services, third-party content, or software. These Terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of its courts. Any claim related to the Service must be filed within one year of its occurrence.

Assignment and Notice

These Terms cannot be assigned by you without Groupt AI's prior written consent but may be assigned by Groupt AI. Notices to you may be delivered via email or regular mail, and the Service may also provide notices of changes to these Terms or other matters.
